I 've never had experience with a partner. You need a lawyer for sure, one that specialized in company formation. Your lawyer shall have a standard legal document. Once you have that,

You make modifications on it to suit your business needs. Your lawyer will finalize the draft into a legal document.

Alternatively, you and your partner can consider to form two individual companies of your own. The relationship between you and your partner is a contract. You contract the re-manufacture job of your imported goods to your partner and you will pay him the processing fee. You have your own accounting. There might be an increased overhead cost. But that makes it a lot easier for one of you to get out the business without severely affecting the other. And your lawyer's job will be focusing on the contract only.

    • Very risky to do this business in partnership. Maybe 1 in 20 will have a happy ending. If you really have to, register a Limited Partnership company first.
      • i import products from china, the foreign partner provide retail place and office funiture and products re-manufacture ,then i retail our products to local chinese custmoers.l
        • Must have a partnership agreement that specifies the investment from each, responsibilities of each partner, and profit sharing formular. Be explicit on exit clause for the case that one of you wants to quit.
          • thx .the key is how to creative the agreement.would you like give me one sample about that?or some experiments?

    • Just my curiosity, how are you going to form a partnership and why do you have to, if you don't mind?
      • any lawyer speaking manderin recommend?
        • I do not have one handy. All lawyers have specific specialties. Check Xing Dao Daily advertising, Chinese yellow page directory. Regardless you use a Chinese lawyer or Canadian one,
you must do your own home work to learn the basics of company formation, the pros and cons. Search local library, internet, and the website of The Ministry of Consumer and Business Services of Ontario (see the link). Your time and effort will pay off in a long term. It can be very costly to break up a bad business relationship.

You can not totally rely on a lawyer. A lawyer is the one you hired to work FOR you. In order to allow the lawyer to provide better legal services to you, you have to know exactly what you want. The more you know, the less and effective your lawyer's involvement will be, and the cheaper the costs.

I always felt that a Canadian lawyer is supposed to know Canadian laws better than a Chinese one. So, I've never tried a Chinese lawyer. This is entirely my personal preference, not a recommendation to your case.
      • a praivite question . have you been a businessman in canada?your advice and information are helpful with me.how do you think the jewish businessman in toronto?my partner is a jewish.
        • I have been doing business in Canada for 5 years now. Jews are the most talented people, the best partners, the worst rivals. Everyone is different. We can not judge a person based on ethnic background.
          • what kind of business do you operate?by now i imported products from china and wholesale to local distributor, however the wholesale profit is low.this is one reason i want retail.
            • I have a convenience store. What kind of products?
              • stone products
Anyway,good luck.
Anyway, up to you. None of my business.
    • Alright. Here. Have a self education. There are tones of them on the internet. I feel like you are in stone age (no offence). Key in "partnership agreement" and read.
    • OK. I dug out something for you. Hope you find it helpful.
